Terms & conditions

These terms and conditions govern the collaboration between equilane (Bright & Brilliance Operations GmbH) and its clients.

This is a courtesy English translation. The German version is legally binding — see the German AGB.

§ 1 Scope

(1) These terms and conditions apply to all consulting, implementation and training services provided by equilane Consulting, in particular to lane 1 (AI competence day), lane 2 (operations upgrade including Phase I), lane 3 (operations review), keynote talks and the group programmes solo lane and solo lane Start.

(2) The services are directed at businesses within the meaning of § 14 BGB. The group programmes solo lane and solo lane Start may also be booked by consumers within the meaning of § 13 BGB, in particular by people preparing to become self-employed. For consumers, § 13 (right of withdrawal) and the statutory consumer protection provisions apply in addition; any conflicting provisions of these terms do not apply to consumers.

(3) Deviating terms of the client become part of the contract only with the express written consent of equilane Consulting.

§ 2 Formation of contract

(1) Offers from equilane Consulting are non-binding. A contract for consulting, implementation and training services is formed through written order confirmation or countersignature of the offer. The scope and content of the services follow from the respective offer or service description.

(2) For group programmes, the contract is formed when the participant requests a place via the reservation form and equilane Consulting confirms the reservation by email. The place becomes binding once the first payment has been received in full; until then equilane Consulting reserves the right to allocate the place elsewhere if payment is not received within the period set out in § 5.

(3) Unless stated otherwise, offers from equilane Consulting are valid for 14 days from the date of the offer.

§ 3 Services

(1) equilane Consulting provides consulting, implementation and training services with professional diligence in line with the equilane method. What is owed is the performance of the work, not a particular economic outcome, unless a specific work result has been expressly agreed.

(2) lane 2 and solo lane include baseline and follow-up measurements of the time bound up in workflows (time logs). These measurements serve to document the effect. They do not constitute a guarantee or assurance of any particular time saving, cost reduction or other economic result. Potentials identified during the analysis are estimates.

(3) The services do not include legal, tax or data protection advice in the legal sense, IT services (setup, operation and maintenance of systems) or the procurement of software licences. Guidance from equilane Consulting on Art. 4 of Regulation (EU) 2024/1689 (EU AI Act) and on the General Data Protection Regulation serves documentation and implementation within the client’s business and does not replace legal advice.

(4) equilane Consulting uses AI-supported tools to deliver its services. Work results are reviewed by equilane Consulting before they are handed over to the client. Personal data of clients, their employees, customers or business partners is processed in AI tools only where this has been contractually agreed and a data processing agreement with the respective provider is in place; otherwise, information is anonymised before processing.

§ 4 Client cooperation

(1) Clients shall provide the information, documents, access and contact persons required for the performance of the services in good time. For lane 2 they shall name a contact person with an availability of generally two hours per week and enable interviews, time logs and training sessions with the employees involved.

(2) Before any personal data is processed, the parties shall conclude a data processing agreement pursuant to Art. 28 GDPR. Clients shall ensure that their employees are informed about the processing; equilane Consulting provides an information sheet for this purpose.

(3) Delays resulting from missing or late cooperation are not attributable to equilane Consulting. Agreed dates and deadlines shall be postponed accordingly. Additional effort incurred by equilane Consulting due to missing or late cooperation will, after prior notice in text form, be charged at a daily rate of €1,900 net, pro rata per half hour commenced. On-site appointments cancelled or rescheduled less than three working days in advance will be charged at 50 % of the daily rate.

§ 5 Fees and payment

(1) Services are billed at the fixed prices stated in the offer unless time-and-materials billing has been expressly agreed. All prices are exclusive of statutory VAT; for consumers, prices are stated as final prices including VAT.

(2) Payment plans, unless the offer provides otherwise: lane 1 and lane 2 Phase I: 100 % on commissioning. lane 2: 40 % on commissioning, 40 % on completion of Phase II (week 6), 20 % on handover. lane 3: monthly in advance. solo lane: 100 % on reservation or in two instalments (50 % on reservation, 50 % at the start of the programme). solo lane Start: 100 % on reservation.

(3) Invoices are due net within 14 days of the invoice date without deduction.

(3a) Travel costs are included within a 60 km radius of our registered office. Beyond that, equilane Consulting charges: €0.60 per kilometre driven by car, or second-class rail against receipt; overnight accommodation where required against receipt up to €170 per night; meal allowances at the statutory flat rates. Travel time exceeding two hours each way is charged pro rata at 50 % of the daily rate. Travel costs are stated in the offer or agreed in advance. For the Insight, fixed travel flat rates by distance zone apply instead of time-and-materials billing, and are stated before booking.

(4) Early-bird prices apply to reservations received by the cut-off date stated in the offer or on the website.

(5) Support with funding: at the client’s request, equilane Consulting assists in examining consulting grants. Approval lies outside the control of equilane Consulting. The client’s obligation to pay exists irrespective of whether funding is approved or paid out.

§ 6 Crediting

(1) If an operations upgrade (lane 2) is commissioned for the same business within 90 days of an AI competence day (lane 1) being held, the fee for lane 1 is credited in full against the fee for lane 2; if commissioned after 90 days, half of it is credited.

(2) The fee for a separately commissioned Phase I is always credited in full if lane 2 is subsequently commissioned for the same business.

(3) If a place in the solo lane programme is booked within twelve months of completing solo lane Start, the fee for solo lane Start is credited in full.

(4) Credits apply to the same contracting party or business and are not transferable.

§ 7 Group programmes (solo lane, solo lane Start)

(1) The programmes take place online on the dates stated on the website or in the confirmation. equilane Consulting may reschedule individual sessions for good cause and will inform participants without delay.

(2) Minimum number of participants: a programme takes place if at least eight places have been booked bindingly no later than 14 days before the start. If this number is not reached, equilane Consulting may postpone the programme to the next date. Participants may then either transfer to the new date or withdraw from the contract; amounts already paid will be refunded in full. No further claims exist.

(3) Places are allocated in the order in which payment is received. A place is personal; transfer to another person is possible up to the start of the programme with the consent of equilane Consulting.

(4) Live sessions are recorded and made available to participants of the respective programme for up to 90 days after the programme ends. By booking, participants consent to their spoken and visual contributions being recorded for this purpose; they may switch off camera and microphone at any time. Recordings may not be passed on or published.

(5) Participants shall treat the contributions of other participants as confidential and shall not disclose personal data of third parties (in particular their customers) in the group space. equilane Consulting may exclude participants who persistently disrupt proceedings or breach these obligations, after a warning; no claim to a refund exists in this case.

(6) Withdrawal by participants (businesses): free of charge up to 28 days before the programme starts; thereafter, until the start of the programme, against 50 % of the fee; from the start of the programme the full fee is owed. A substitute participant may be provided at any time (paragraph 3). The right of withdrawal for consumers under § 13 remains unaffected.

(7) Individual one-to-one sessions within the programmes must be booked and attended within the designated time window; sessions not attended expire unless cancelled at least 24 hours in advance.

§ 8 lane 3 (operations review)

(1) lane 3 is concluded for a minimum term of twelve months from the agreed start and is thereafter extended by one month at a time unless terminated with one month’s notice to the end of a month.

(2) The scope of services follows from the offer (as a rule: monthly check-in, quarterly review, maintenance of the assistants set up, updating of the AI ground rules and the tool register, availability with a response within two working days). Services not used in a given month expire and are neither carried over nor refunded.

§ 9 equilane Wirkungscockpit

(1) equilane Consulting provides clients of lane 1, lane 2 and lane 3 with access to the equilane Wirkungscockpit for the duration of the engagement, a web-based working environment for jointly recording the process inventory, assessments, target picture, process profiles, assistants, ground rules, notes and measurements. Access is an ancillary service; equilane Consulting does not owe any particular availability and may temporarily restrict access for technical or security reasons.

(2) Login data and access links are confidential and may only be made available to the persons designated by the client. The client shall inform equilane Consulting of the persons authorised to access and notify any changes without delay.

(3) The data recorded in the equilane Wirkungscockpit is available to the client for its own purposes. On request, equilane Consulting will provide a complete export of the engagement data in a common format at the end of the contract. equilane Consulting deletes the engagement data twelve months after the end of the contract, unless statutory retention obligations prevent this or the client requests earlier deletion.

(4) The processing of personal data in the equilane Wirkungscockpit is governed by the data processing agreement and the privacy policy of equilane Consulting.

§ 10 Rights of use

(1) Upon full payment, clients receive a simple right of use, unlimited in time and territory, for their own operational purposes, to the work results produced for them (e.g. process documentation, process profiles, operations manual, AI ground rules, records, assistant configurations).

(2) Templates, training materials, slide decks, videos, recordings and materials of the group programmes (in particular the template package and the solo lane cockpit) remain the intellectual property of equilane Consulting. Participants receive a simple, non-transferable right to use them for their own self-employed activity. Passing them on, reproducing them for third parties, publishing them or exploiting them commercially (for example in their own consulting or training offerings) is not permitted.

(3) The equilane method, the Wirkungscockpit and the equilane Consulting brand may not be used to designate the client’s own services without consent.

§ 11 Confidentiality and references

(1) Both parties shall treat confidential information of the other party as strictly confidential and use it exclusively for the performance of the contract. This applies beyond the end of the contract.

(2) equilane Consulting passes on interview statements made by the client’s employees only in anonymised form (role description instead of name). Time logs are evaluated only as totals and are not used to assess the performance of individuals.

(3) equilane Consulting names clients as references only with their separate written approval. The approval specifies whether company name, industry, figures and quotes may be used, and may be revoked at any time with effect for the future.

§ 12 Liability

(1) equilane Consulting is liable without limitation for intent and gross negligence, for damages arising from injury to life, body or health, and under the German Product Liability Act.

(2) In cases of simple negligence, equilane Consulting is liable only for breaches of material contractual obligations (cardinal obligations), limited to the damage typical for the contract and foreseeable, but at most to the amount of the fee agreed for the contract concerned, and in the case of continuing obligations to twelve months’ fees. Liability for loss of profit and indirect damages is excluded in cases of simple negligence. equilane Consulting is liable for data loss only to the extent that the damage would have been avoided had the client carried out proper daily backups. Liability is otherwise excluded.

(3) equilane Consulting is not liable for decisions taken by the client on the basis of the consulting, for the output of AI tools operated by the client itself, or for the availability of third-party services (in particular AI providers, Notion, Supabase, Google).

(4) The limitations of liability also apply to the personal liability of the bodies, employees and vicarious agents of equilane Consulting.

§ 13 Right of withdrawal for consumers

Consumers who book a group programme have a statutory right of withdrawal.

Withdrawal instructions

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded. To exercise your right of withdrawal, you must inform us (Bright & Brilliance Operations GmbH, Ackerstraße 15, 02977 Hoyerswerda, Germany, kontakt@equilaneconsulting.com, phone +49 1520 4872339) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an email). You may use the attached model withdrawal form, although this is not mandatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.

Consequences of withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and no later than fourteen days from the day on which we receive notice of your withdrawal from this contract. We will use the same means of payment as you used for the original transaction, unless expressly agreed otherwise with you; in no event will you be charged any fees for this reimbursement. If you requested that the services begin during the withdrawal period, you shall pay us a reasonable amount corresponding to the proportion of the services already provided up to the time you inform us of the exercise of the right of withdrawal, compared with the total scope of the services provided for in the contract.

§ 14 Term and termination

(1) Project contracts (lane 1, lane 2, Phase I, keynote talks) end upon performance or handover of the service.

(2) § 8 applies to lane 3, § 7 to the group programmes.

(3) The right to extraordinary termination for good cause remains unaffected. Good cause exists for equilane Consulting in particular if the client is more than 30 days in arrears with a payment despite a reminder, or persistently fails to meet its cooperation obligations under § 4 despite being requested to do so.

(4) If a client terminates a project early without good cause, the services rendered up to that point and the payment instalments that have fallen due up to termination are owed; work results already produced will be handed over.

§ 15 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Vis-à-vis consumers, this choice of law applies only to the extent that it does not deprive them of the protection of mandatory provisions of the state of their habitual residence.

(2) The place of jurisdiction for disputes with businesses is, to the extent legally permissible, the registered seat of equilane Consulting.

(3) Amendments and additions to contracts require text form. This also applies to any amendment of this clause.

(4) The parties shall endeavour to settle disagreements arising from this contract in a personal conversation between the management teams before initiating legal proceedings. The limitation period is suspended for a maximum of three months during these efforts.

(5) equilane Consulting is not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

(6) Should individual provisions of these terms be or become invalid, the validity of the remaining provisions remains unaffected.
